SoCreative

Creator agreement

SoCreative Pte. Ltd. (UEN 202612175Z)

Last modified: 22 September 2026

This Creator Services Agreement ("Agreement") is made between SoCreative Pte. Ltd., a company incorporated in Singapore with its registered address at 68 Circular Road, #02-01, Singapore 049422 ("SoCreative" or the "Company"), and the undersigned independent creator or production company ("Contractor"). SoCreative engages creators globally. Regardless of the Contractor's location, this Agreement is governed by the laws of Singapore and the terms below apply in full.

Key rules and guidelines

  • You are an independent contractor, not an employee of SoCreative. You choose which jobs you accept.
  • Deliver all raw footage, photos, and files within twelve (12) hours of the shoot unless otherwise agreed in writing.
  • Payment is made within fourteen (14) days of job completion.
  • All deliverables belong to SoCreative or its clients. Do not post, share, or use any deliverables, including behind-the-scenes content, on social media, websites, or portfolios without prior written consent.
  • Follow our client-facing presentation standards: dark, professional clothing with no visible logos, slogans, or branding.
  • Do not approach, solicit, or accept work from any SoCreative client. The only day you should be in contact with a client is the shoot day itself. This restriction lasts twelve (12) months after your last engagement.
  • No subcontracting. You must do the work yourself and may not send someone else in your place. The only exception is a production company engaged by SoCreative, which may use its own crew.
  • You must hold your own public liability insurance and provide a certificate of insurance when asked. Your equipment is your responsibility.
  • You are not required to stay past the booked time. Overtime must be agreed through SoCreative.
  • If a confirmed shoot is canceled within forty-eight (48) hours of the start time, you are paid 50% of the agreed fee. If you cancel late or do not show, you may be liable for the Company's costs.
  • Never upload client footage or materials into AI tools that SoCreative has not approved.

This summary is for convenience. The full legal terms below apply in all cases.

1. Engagement

1.1 The Contractor is engaged by SoCreative to provide video production, photography, and/or related creative services ("Services") on a project-by-project basis. Each engagement is governed by this Agreement and the applicable project brief and booking issued by SoCreative.

1.2 The Contractor is engaged as an independent contractor and not as an employee, agent, or partner of SoCreative. Nothing in this Agreement creates any employment, joint venture, or partnership relationship.

1.3 The Contractor decides which assignments to accept, supplies their own equipment, and determines how the Services are performed, subject to the brief, the client's site requirements, and the standards in this Agreement. The Contractor is free to provide services to others, subject to clause 11.

1.4 SoCreative engages creators globally. This Agreement applies regardless of the Contractor's country of residence or the location of the Services. SoCreative may issue assignments or make payments through its related entities.

2. Deliverables and deadlines

2.1 The Contractor shall deliver all raw footage, photographs, audio, and associated files ("Deliverables") to SoCreative within twelve (12) hours of completing each assignment, unless otherwise agreed in writing. For large shoots, "delivery" means the Contractor has made all files available for upload or transfer, not that the transfer itself has completed.

2.2 The Contractor must keep a backup copy of the Deliverables until SoCreative confirms receipt of all files, after which clause 10.2 applies.

2.3 SoCreative may withhold payment for an assignment until all Deliverables for that assignment have been delivered.

3. Payment

3.1 SoCreative shall pay the Contractor the agreed fee for each assignment within fourteen (14) days of job completion. "Job completion" means the Contractor has delivered all Deliverables and they meet the technical requirements of the project brief. If SoCreative does not raise an issue with the Deliverables within five (5) business days of delivery, the job is treated as complete.

3.2 All fees are exclusive of GST unless otherwise stated. If the Contractor is registered for GST (or the equivalent tax in their jurisdiction), they must issue a valid tax invoice. SoCreative will pay the GST component on top of the agreed fee upon receipt of a compliant invoice.

3.3 The Contractor is responsible for all costs incurred in performing the Services unless otherwise pre-approved in writing by SoCreative.

3.4 The Contractor is solely responsible for reporting and paying all applicable income taxes, social contributions, and any other levies in their jurisdiction.

4. Ownership and intellectual property

4.1 All intellectual property rights, title, and interest in the Deliverables vest exclusively in SoCreative (or its nominated client) as they are created. The Contractor hereby irrevocably assigns all such rights to SoCreative, and this assignment is not conditional on payment.

4.2 To the extent permitted by applicable law, the Contractor consents to any act or omission that would otherwise infringe the Contractor's moral rights in the Deliverables, including the right of attribution and the right of integrity.

4.3 The Contractor shall not reproduce, distribute, or publicly display the Deliverables, in whole or in part, including in portfolios, websites, showreels, or social media, without the prior written consent of SoCreative. This includes behind-the-scenes footage, photos, or any content created at or about a SoCreative shoot.

5. Professional standards and conduct

5.1 SoCreative's clients expect a consistent, professional standard on every shoot. The Contractor must perform the Services in a professional, punctual, and diligent manner consistent with industry standards.

5.2 Presentation standards. Clients require crew to present a clean, professional appearance: dark, professional clothing (plain black or dark-colored tops, dark pants, closed-toe footwear). Hoodies, casual sportswear, and garments with visible logos, slogans, or branding (other than SoCreative-issued items) are not permitted on client sites. The Contractor must not display clothing, accessories, or materials that promote any other company, personal brand, or third-party business while on a SoCreative assignment.

5.3 The Contractor must follow the client's site rules, inductions, and health and safety requirements, and any reasonable directions from the client's on-site contact regarding access and safety.

6. Booked time and overtime

6.1 The Contractor is booked for the start time and duration shown in the booking and is not required to stay past the booked time.

6.2 If the client asks the Contractor to stay longer, the Contractor may agree only after the extension has been confirmed through SoCreative. Approved overtime is paid at the rate agreed for that assignment.

7. Equipment, insurance, and safety

7.1 The Contractor is responsible for supplying and maintaining all equipment necessary for the Services. The Contractor's equipment is at the Contractor's own risk, and SoCreative is not liable for any loss, theft, or damage to it.

7.2 The Contractor must hold and maintain public liability insurance, covering all of its crew members where it is a production company, at a level appropriate for professional production work in the country where the Services are performed, and any higher amount the brief, a permit, or a venue requires.

7.3 The Contractor must provide a current certificate of insurance on request, and before any assignment that requires a permit or where the brief asks for one. The Contractor must tell SoCreative immediately if their cover lapses, is canceled, or is reduced.

7.4 For drone work, the Contractor must hold all licenses, registrations, permits, and aviation liability insurance required in the country of the shoot, and provide evidence on request.

7.5 Where the brief requires it, the Contractor must collect signed releases from people featured in the content and from location owners, using SoCreative's forms, and deliver them with the Deliverables.

7.6 The Contractor is responsible for their own health and safety, and for any insurance covering their own injury or illness. SoCreative does not provide workers' compensation or accident cover for the Contractor.

8. Subcontracting

8.1 If the Contractor is an individual creator, they must perform the Services personally and must not subcontract, delegate, or assign any part of the Services, or send anyone else in their place.

8.2 If SoCreative engages the Contractor as a production company or crew, the Contractor may perform the Services using its own employees and regular crew members. This is the only circumstance in which subcontracting is permitted. The Contractor must tell SoCreative in advance who will attend each assignment.

8.3 A production company Contractor must ensure that every crew member it uses is bound by obligations consistent with this Agreement, including confidentiality, data protection, intellectual property assignment, and non-solicitation, and is covered by the insurance required by clause 7.

8.4 The Contractor remains fully responsible for the acts and omissions of its crew members, and is solely responsible for paying them.

9. Confidentiality

9.1 The Contractor must treat as strictly confidential all information obtained in the course of providing the Services, including client information, project briefs, creative materials, shoot locations, schedules, and any information about SoCreative's operations, pricing, or business relationships.

9.2 This obligation continues indefinitely and survives the termination of this Agreement.

10. Data protection, privacy, and AI

10.1 The Contractor may have access to personal data and confidential client information through SoCreative's platform, project briefs, or on-site interactions. The Contractor must handle all such data in accordance with applicable data protection laws and SoCreative's instructions.

10.2 The Contractor must not copy, store locally, or retain any client data, personal information, or project materials beyond what is necessary to perform the Services. If this Agreement ends during an assignment, the Contractor must first deliver all outstanding Deliverables. The Contractor must delete all locally held copies of Deliverables, project files, and client information within seven (7) days after SoCreative confirms receipt of all Deliverables, unless otherwise instructed by SoCreative.

10.3 The Contractor must notify SoCreative without undue delay, and in any case within twenty-four (24) hours, of becoming aware of any suspected data breach, unauthorized access, or security incident involving client or project data.

10.4 The Contractor must not upload, input, or process client footage, materials, or information in any artificial intelligence tool that SoCreative has not approved, and must never use them to train any AI model.

11. Client contact and non-solicitation

11.1 The Contractor's only point of direct contact with SoCreative clients is on the shoot day itself and only as required to perform the Services. Outside of the shoot day, the Contractor must not contact, communicate with, or engage with SoCreative clients in any capacity related to creative services.

11.2 The Contractor shall not, without the prior written consent of SoCreative, directly or indirectly solicit, accept engagement from, or provide services to any client of SoCreative whom the Contractor was introduced to or became aware of during this engagement, for a period of twelve (12) months following the termination or expiration of this Agreement.

11.3 If a SoCreative client approaches the Contractor directly, the Contractor must refer the client back to SoCreative.

11.4 The Contractor must not distribute their contact information, business cards, or promotional materials to any SoCreative client, or otherwise encourage direct engagement, during or after this Agreement.

11.5 Breach of this clause may result in immediate termination and entitle SoCreative to seek legal remedies including injunctive relief and damages.

12. Cancellation and no-show

12.1 If a confirmed assignment is canceled or rescheduled by SoCreative or its client within forty-eight (48) hours of the scheduled start time, the Contractor is entitled to a cancellation fee equal to fifty percent (50%) of the agreed fee.

12.2 No cancellation fee applies to cancellations made more than forty-eight (48) hours in advance, or where a shoot is rescheduled because conditions on the day make it unsafe.

12.3 If the Contractor cancels a confirmed assignment within forty-eight (48) hours of the scheduled start time, or fails to attend without notice ("no-show"), the Contractor may be liable for SoCreative's direct costs incurred as a result, including the cost of sourcing a replacement and any client penalties. SoCreative may deduct such costs from any outstanding amounts owed to the Contractor.

12.4 Repeated late cancellations or no-shows constitute grounds for immediate termination under clause 14.2.

13. Platform and tools

13.1 SoCreative may provide access to its online platform for receiving project briefs, uploading Deliverables, managing assignments, and processing payments. The Contractor's use of the platform is subject to SoCreative's platform terms of use, as updated from time to time.

13.2 The Contractor must keep their platform login credentials confidential and must not share access with any third party.

13.3 Platform access is scoped to the Contractor's assigned projects only and is revoked on project completion or contract end.

14. Termination

14.1 Either Party may terminate this Agreement by providing thirty (30) days' written notice.

14.2 SoCreative may terminate this Agreement immediately for cause, including but not limited to:

• material breach of this Agreement;

• failure to meet performance, conduct, or presentation standards;

• misuse of confidential information or client data;

• unauthorized contact with or solicitation of SoCreative clients;

• repeated late cancellations or no-shows;

• failure to hold the insurance required by clause 7;

• conduct that damages the reputation of SoCreative or its clients.

15. Indemnity

The Contractor shall indemnify and hold harmless SoCreative and its officers, directors, employees, agents, and clients from and against all claims, losses, damages, liabilities, and costs (including legal fees) to the extent they arise out of:

• any breach of this Agreement by the Contractor;

• negligence or misconduct by the Contractor;

• any claim that the Contractor's Services or Deliverables infringe the rights of a third party; or

• any personal injury or property damage caused by the Contractor during the performance of the Services.

16. Limitation of liability

To the maximum extent permitted by law:

• Neither Party shall be liable for any indirect, incidental, special, or consequential loss or damage;

• Each Party's total liability under this Agreement is limited to the total fees paid or payable to the Contractor in the twelve (12) months before the claim arose; and

• The limit above does not apply to fraud, wilful misconduct, breach of confidentiality, breach of clause 4 or clause 11, or liability for death, personal injury, or property damage, and nothing in this Agreement limits liability that cannot be excluded by law.

17. Force majeure

Neither Party shall be liable for any delay or failure in performing its obligations due to events beyond its reasonable control, including but not limited to natural disasters, severe weather, war, labor strikes, government action, pandemics, or power outages.

18. Dispute resolution

18.1 The Parties shall use reasonable efforts to resolve any dispute through good faith negotiations.

18.2 If a dispute cannot be resolved within thirty (30) days, it shall be referred to mediation at the Singapore Mediation Centre. If mediation fails, the dispute shall be finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) under its rules in force at the time. The seat of arbitration is Singapore, the tribunal shall consist of one arbitrator, and the arbitration shall be conducted in English.

18.3 Despite clause 18.2, a claim of less than USD 10,000 may instead be brought in a small claims court or tribunal with jurisdiction.

18.4 Either Party may seek urgent injunctive or equitable relief from a court of competent jurisdiction.

19. Governing law

This Agreement shall be governed by and construed in accordance with the laws of Singapore. This applies regardless of the Contractor's country of residence or the location where Services are performed, except for any local laws that cannot be excluded by agreement.

20. Non-disparagement

The Contractor must not make any public statements, social media posts, or communications that are false, misleading, or disparaging about SoCreative, its clients, or its personnel. This obligation survives the termination of this Agreement.

21. Amendments

SoCreative may amend this Agreement by providing written notice to the Contractor with at least fourteen (14) days' notice before the changes take effect. Amendments apply to all future Services performed after the effective date. Continued acceptance of assignments after the effective date constitutes acceptance of the amended terms. If the Contractor does not agree to the amendments, they may terminate this Agreement by written notice before the effective date.

22. Entire agreement

This Agreement, together with any applicable project briefs, bookings, and platform terms of use, constitutes the entire agreement between the Parties and supersedes all prior negotiations or understandings, whether written or oral, relating to its subject matter.

23. Acceptance

This Agreement may be accepted electronically. The Contractor acknowledges and agrees to the terms of this Agreement by ticking the acknowledgment box provided during onboarding or prior to accepting an assignment. Such action has the same legal effect as a handwritten signature.

By electronic signature or accepting work from SoCreative, the Contractor confirms that they have read, understood, and agreed to be bound by the terms of this Agreement. This Agreement takes effect on the date the Contractor provides such acknowledgment or accepts an assignment, whichever occurs first.
